Terms of Service

1. Acceptance of Terms

By accessing or using the website prime-essential.store ("the Website") and engaging Prime Essentials ("Prime," "we," "our," or "us") for bespoke tailoring services ("Services"), you ("Client," "you," or "your") agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you must not use our Website or Services.

These Terms constitute a legally binding agreement between you and Prime Essentials, a business operating under the laws of the Federal Republic of Nigeria, with its principal place of business in Port Harcourt, Rivers State, Nigeria.

2. Description of Services

Prime Essentials provides bespoke tailoring and couture services, including but not limited to:

  • Custom-made suits (two-piece and three-piece)
  • Traditional Nigerian attire (Agbada, Babariga, Danshiki, and other traditional garments)
  • Wedding attire for grooms and groomsmen
  • Women's tailored garments
  • Bespoke shirts
  • Alteration services
  • Style consultation and fabric selection guidance

All garments are made-to-measure and handcrafted. Each commission is unique, and variations in fabric, colour, texture, and finish are inherent characteristics of bespoke craftsmanship — not defects.

3. Commission Process & Fittings

3.1 Consultation

Every commission begins with a consultation — either in-person at our Port Harcourt atelier or via scheduled virtual consultation. During the consultation, we discuss your requirements, present fabric options, take preliminary measurements, and provide a detailed cost estimate. The consultation is complimentary; however, the estimate provided is indicative and subject to final confirmation upon fabric and design selection.

3.2 The Four-Fitting Ritual

Our bespoke process includes up to four fitting sessions:

  • Initial Fitting (Basted): Assessment of silhouette and overall fit using a basted (temporary) garment
  • Forward Fitting: Refinement of details, lapels, shoulders, and drape
  • Fine-Tuning Session: Minor adjustments to achieve perfection
  • Final Fitting & Reveal: Presentation of the completed garment and final inspection

Clients are responsible for attending all scheduled fittings. Missed fittings may result in delays. We require at least 48 hours' notice for rescheduling. Repeated missed fittings (two or more without notice) may result in the forfeiture of your deposit at our discretion.

4. Pricing & Payment Terms

4.1 Pricing

All prices are quoted in Nigerian Naira (₦). Prices vary based on fabric selection, garment complexity, and customisation requirements. A formal quotation will be provided after your consultation and fabric selection. Prices are subject to change without notice; however, once a quotation is accepted and a deposit paid, the price is locked for that commission.

4.2 Deposit

A non-refundable deposit of 50% of the total quoted price is required to commence work on any commission. Work will not begin until the deposit is received and confirmed. The deposit covers fabric procurement, pattern creation, and initial labour. By paying the deposit, you acknowledge that materials will be cut specifically for your garment and cannot be reused.

4.3 Balance Payment

The remaining 50% balance is due upon completion and before or at the final fitting and reveal. The garment will not be released until full payment is received.

4.4 Payment Methods

We accept payment via bank transfer to our designated Nigerian bank account, or through approved payment gateways as communicated during your consultation. Payment details will be provided on your invoice. We do not store credit card or bank account details on our servers.

5. Production Timeline

Estimated production timelines are provided during your consultation and confirmed in your commission agreement. Typical timelines are:

  • Two-Piece Suits: 8–12 weeks
  • Three-Piece Suits: 10–14 weeks
  • Traditional Attire: 8–16 weeks
  • Wedding Collections: 12–20 weeks
  • Women's Tailoring: 6–10 weeks
  • Bespoke Shirts: 3–5 weeks

These timelines are estimates and begin from the date the deposit is confirmed. Delays may occur due to fabric availability, fitting scheduling, or unforeseen circumstances. Prime Essentials will communicate any delays promptly. Time is not of the essence in these Terms, and we shall not be liable for delays caused by circumstances beyond our reasonable control, including but not limited to force majeure events as described in Section 11.

6. Cancellations & Refunds

6.1 Cancellation by Client

  • Before Pattern Creation (within 48 hours of deposit): Full refund of deposit, minus any fabric costs already incurred
  • After Pattern Creation but Before Cutting: Refund of deposit minus fabric costs and pattern drafting fee (₦50,000 minimum)
  • After Fabric Cutting: No refund of deposit — fabric has been cut specifically for your garment and cannot be repurposed

6.2 Cancellation by Prime Essentials

We reserve the right to cancel a commission in rare circumstances, including but not limited to: unavailability of selected fabric, inability to meet the agreed specifications, or client behaviour that makes continued work untenable. In such cases, we will refund any payments made, including the deposit, within 14 business days. We are not liable for any consequential losses arising from such cancellation.

6.3 Satisfaction Guarantee

Client satisfaction is our highest priority. If, after the final fitting, the garment does not meet the specifications agreed in your commission agreement, we will make reasonable adjustments at no additional cost. This guarantee does not cover change of mind regarding style, fabric, or design choices that were approved by you during the process.

7. Lifetime Alteration Service

Every bespoke garment from Prime Essentials includes complimentary lifetime alteration service, subject to the following terms:

  • Alterations are limited to adjustments required due to natural body changes (weight fluctuation, posture changes)
  • Alterations do not include restyling, redesign, or changes to the garment's original design
  • Garments must be in reasonable condition — we reserve the right to decline alterations on garments that are damaged, heavily worn, or poorly maintained
  • Alterations are performed at our Port Harcourt atelier. Shipping costs for remote clients are the client's responsibility
  • This service is non-transferable and applies only to the original client

8. Intellectual Property

8.1 Our Intellectual Property

All content on the Website — including text, images, logos, designs, graphics, and the Prime Essentials brand name — is the intellectual property of Prime Essentials and protected by applicable copyright, trademark, and intellectual property laws. You may not reproduce, distribute, or use any content from the Website without our express written permission.

8.2 Pattern Ownership & Destruction

As part of our commitment to exclusivity, every paper pattern created for your garment is destroyed after your commission is complete. You may witness this destruction. This guarantees that your garment is truly one of one. The design of your garment — while exclusive to you — remains our intellectual property.

8.3 Client-Supplied Designs

If you provide reference images, sketches, or design concepts, you warrant that you have the right to use such materials and that they do not infringe on any third party's intellectual property rights. You grant us a non-exclusive, royalty-free licence to use these materials for the purpose of creating your commissioned garment.

9. Website Use & Conduct

When using our Website, you agree:

  • Not to use the Website for any unlawful purpose or in violation of any applicable laws
  • Not to attempt to gain unauthorised access to any part of the Website, its servers, or databases
  • Not to use any automated means (bots, scrapers, spiders) to access or collect data from the Website
  • Not to upload or transmit viruses, malware, or any malicious code
  • Not to impersonate any person or entity or misrepresent your affiliation with any person or entity
  • To provide accurate, current, and complete information when submitting any form on the Website

We reserve the right to restrict or terminate access to the Website at our sole discretion, without notice, for any conduct that we believe violates these Terms or is harmful to other users, us, or third parties.

10. Limitation of Liability

To the fullest extent permitted by applicable law:

  • Prime Essentials shall not be liable for any indirect, incidental, consequential, special, or punitive damages arising from your use of the Website or Services
  • Our total liability for any claim arising from a commission shall not exceed the total amount paid by you for that specific commission
  • We are not liable for damages to garments resulting from improper care, cleaning, storage, or use contrary to care instructions provided
  • We make no warranties regarding the Website's availability, accuracy, or freedom from errors or interruptions

Nothing in these Terms excludes or limits our liability for death or personal injury caused by our negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be excluded by Nigerian law.

11. Force Majeure

Prime Essentials shall not be liable for any failure or delay in performance of its obligations under these Terms arising from events beyond our reasonable control, including but not limited to: acts of God, natural disasters, epidemic or pandemic, war, terrorism, civil unrest, government action or regulation, fire, flood, power failure, internet or telecommunications outage, labour disputes, or failure of suppliers or subcontractors. In such circumstances, we will notify you as soon as reasonably possible and take all reasonable steps to minimise the impact of the delay.

12. Indemnification

You agree to indemnify, defend, and hold harmless Prime Essentials, its owners, employees, contractors, and agents from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising out of or related to: (a) your breach of these Terms; (b) your use of the Website; (c) any content or materials you provide to us; or (d) your violation of any applicable law or the rights of any third party.

13. Third-Party Links & Services

Our Website may contain links to third-party websites or services that are not owned or controlled by Prime Essentials. We have no control over and assume no responsibility for the content, privacy policies, or practices of any third-party websites or services. You acknowledge and agree that Prime Essentials shall not be liable for any damage or loss caused by your use of any third-party content, goods, or services.

14. Privacy

Your use of the Website and our Services is also governed by our Privacy Policy, which is incorporated into these Terms by reference. Please review our Privacy Policy to understand how we collect, use, and protect your personal information.

15. Governing Law & Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the Federal Republic of Nigeria.

15.1 Amicable Resolution

We value our client relationships. In the event of any dispute, both parties agree to first attempt to resolve the matter amicably through good-faith negotiation. Please contact us directly with any concerns.

15.2 Mediation

If negotiation fails, the parties agree to attempt resolution through mediation administered by a mutually agreed mediator in Port Harcourt, Rivers State, Nigeria, before resorting to litigation.

15.3 Jurisdiction

If mediation is unsuccessful, any legal proceedings shall be brought exclusively in the courts of Rivers State, Nigeria. You consent to the personal jurisdiction of such courts.

16. Changes to Terms

We reserve the right to modify or replace these Terms at any time. Changes will be posted on this page with an updated "Last updated" date. Your continued use of the Website and Services after any such changes constitutes your acceptance of the new Terms.

For active commissions, the Terms in effect at the time your commission agreement was signed will govern that specific commission, unless otherwise required by law.
